THE “FLORENCE AND THE MACHINE FLYAWAY SPONSORED BY FUSE AND DIET COKE” (“SWEEPSTAKES”) IS Open Only to Legal Residents OF THE 48 contiguous UNITED STATES OR THE DISTRICT OF COLUMBIA, WHO ARE 18 years of age or older AT THE TIME OF ENTRY (“Entrant” or “you”).  Void IN FLORIDA, ALASKA AND HAWAII AND Where Prohibited OR RESTRICTED BY LAW.  Employees, officers and directors and their immediate family members (parent, child, spouse or sibling and their respective spouses, regardless of where they reside) and those living in their same households, whether or not related, of The Coca-Cola Company and Coca-Cola bottlers (“Coca-Cola”), Fuse Networks LLC (“Fuse”) (each a “Sponsor” and collectively, “Sponsors”), and their respective parents, affiliates, subsidiaries and advertising and promotion agencies are not eligible to enter or win.  By participating, entrants agree to be bound by these Official Rules and the decisions of the Sponsors, which are binding and final on matters relating to this Sweepstakes.  THIS SWEEPSTAKES IS SUBJECT TO ALL APPLICABLE FEDERAL, STATE AND LOCAL LAWS. PARTICIPATION IN SWEEPSTAKES IS SUBJECT TO THE PRIVACY POLICY AND TERMS OF SERVICE OF WWW.FUSE.TV. IF YOU DO NOT AGREE TO THE PRIVACY POLICY AND TERMS OF SERVICE, DO NOT ENTER THE SWEEPSTAKES OR PROVIDE ANY PERSONAL INFORMATION.

TO ENTER: Beginning at 3:00:00 PMEastern Time (“ET”) on April 27, 2012 through 3:00:00 PM ET on May 2, 2012 (“Sweepstakes Period”), entrant may enter the Sweepstakes using the following method:

     (a) Visit www.twitter.com and log on to your account [If entrant does not have a Twitter account, entrant may visit www.twitter.com to create one. A Twitter account is free. Twitter’s Terms of Service (http://twitter.com/tos) and all other terms and conditions apply. Entrant must be an active holder of a non-private Twitter account to obtain additional entries in the Sweepstakes. Updates sent to and/or from twitter.com using a wireless phone or other mobile device may incur additional charges. Please consult your wireless service provider regarding its pricing plans.];

     (b) After logging on to your account, if you are not already a follower of Fuse’s Twitter page, you must visit http://twitter.com/fusetv and become a follower of Fuse’s Twitter page by clicking on the “FOLLOW” button [Note: There is no charge to become a follower of Fuse, and becoming a follower of Fuse is solely for the purpose of facilitating eligibility verification and prize fulfillment and may be discontinued following the process]; and

    (c) Using Twitter’s mention function, you must post a tweet to your account that includes (i) Fuse’s Twitter handle “@fusetv” and (ii) the hashtag “#FloRadioCity” and (iii) why you want to attend the May 8, 2012 Florence and the Machine concert at Radio City Music Hall (the “Entry”).

Each entrant may post unlimited tweets to his/her account that include Fuse’s Twitter handle “@fusetv” and includes the hashtag “#FloRadioCity;” however, each entrant will only receive credit for one (1) Sweepstakes Entry time during the Sweepstakes Period.  Any attempt to use multiple names or email accounts or other tactics to enter more than the stated limit may result in entrant’s disqualification by Sponsors from the Sweepstakes, including all associated entries being voided.  Entries generated by mechanical, script, macro or other automated means or by any means which subvert the entry process shall be void.  All entries become the property of Sponsors and will not be acknowledged by Sponsors or returned to entrant. ANY ATTEMPT BY ANY INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSORS RESERVE THE RIGHT TO SEEK DAMAGES FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW. THE NEW YORK COURTS (STATE AND FEDERAL) SHALL HAVE SOLE JURISDICTION OF ANY CONTROVERSIES REGARDING THE SWEEPSTAKES AND THE LAWS OF THE STATE OF NEW YORK SHALL GOVERN THE SWEEPSTAKES.

DRAWING:  Five (5) potential winners (each, a “Winner” and collectively, the “Winners”) will be selected from all eligible entries received in a random drawing held on or about May 2, 2012.  Odds of winning depend on the number of eligible entries received.  Each potential Winner will be notified using the direct message feature on Twitter to his/her Twitter account from which the Entry was made. If a potential Winner does not respond within twenty-four (24) hours from such Twitter notification from Sponsor, Sponsor will make one (1) additional attempt to contact the potential Winner via the entrant’s Twitter account. If a potential Winner does not respond within twenty-four (24) hours from such second notification from Sponsor, that potential Winner will be disqualified and an alternate Winner will be selected from among the remaining applicable eligible entries received. Each Winner and Guest (as defined below) may be required to execute and return an affidavit of eligibility, a liability release and, where lawful, a publicity release within forty-eight (48) hours of issuance. If such documents are not returned within the specified time period, or prize notification is returned as undeliverable, or a potential Winner is not in compliance with these rules, the prize will be forfeited and, at Sponsors’ discretion, an alternate Winner selected. If a potential Winner is at least eighteen (18) years of age but still considered a minor in his/her jurisdiction of residence, the Prize may be awarded in the name of his/her parent or legal guardian who will be responsible for fulfilling all requirements imposed on Winner set forth herein.

PRIZE: Each Winner will be awarded a two (2) night trip for Winner and one (1) guest (the “Guest”) to New York City, which will include the following: (a) roundtrip coach airfare for two (2) (Winner and Guest) to New York City from a major commercial airport nearest Prize Winner’s residence; (b) two (2) tickets for Winner and his/her Guest to attend the Florence and the Machine concert at Radio City Music Hall on May 8, 2012 (the “Concert”); (c) two (2) nights hotel accommodations for Winner and his/her Guest at a hotel selected by Fuse (standard, double occupancy) for the night before the Concert and the night of the Concert; (d) car service transportation to and from the hotel and a New York City area airport selected by Fuse; and (e) car service transportation to and from the hotel and Radio City Music Hall on the night of the Concert (collectively, the “Prize”).  The approximate retail value (“ARV”) of all Prizes is Ten Thousand Dollars ($10,000.00). 

Actual value of the Prize may vary depending on departure airport and dates of travel.  Each Winner and Guest must be able to travel on May 7, 2012 and May 9, 2012. If a Winner cannot travel during the dates specified here, his/her Prize will be forfeited in its entirety and awarded to an alternate winner. All Prize details are determined by Sponsors in their sole discretion.  Travel must be made through Sponsors’ agent(s), on carrier(s) of Sponsors’ choice, in seat locations determined by Sponsors. All tickets are subject to terms and conditions of their issuer(s).  Each Guest must reside within the forty-eight (48) contiguous United States or the District of Columbia (not including Florida, Alaska or Hawaii) and must be eighteen (18) years of age or older at the time of Winner’s entry. If a Winner’s or a Guest’s point of departure is in close proximity (as determined by Sponsors) to New York, NY, then Sponsors may determine, in their sole discretion, that Winner and/or Guest will receive alternate ground transportation in lieu of air transportation and Sponsors will have no obligation to the Winner or Guest for any difference in prize value.  Each Winner and Guest must have all necessary identification and/or travel documents required for travel. Event seat locations will be determined by Sponsors in their sole discretion.  Tickets and passes are subject to terms and conditions set forth thereon. Each Winner and Guest must comply with all venue rules and regulations.  Failure to do so may result in forfeiture of such portion of Prize. Each Winner is solely responsible for all expenses not specifically set forth herein, including, but not limited to, transportation to and from the major commercial airport nearest Prize Winner’s residence, spending money, meals, gratuities, tips, taxes and incidentals.

Sponsors reserve the right to substitute a Prize (or portion thereof) of comparable or greater value, at their sole discretion. If any portion of any Prize is cancelled or postponed for any reason, Sponsors will have no obligation to award compensation in lieu thereof, the remainder of the applicable Prize will be awarded, and Sponsors will have no further obligation to any Winner. Prize cannot be assigned, transferred, changed, or redeemed for cash except at the sole discretion of the Sponsors.  Sponsors are responsible only for Prize delivery and shall not be responsible for Prize utility, quality or otherwise. All federal, state, and local taxes, and all other expenses not specifically mentioned herein are the sole responsibility of the Winner.  Other restrictions may apply.  All Prize details are at Sponsors’ sole discretion.

GENERAL CONDITIONS: Released Parties (as defined below) are not responsible for lost, late, incomplete, inaccurate, stolen, misdirected, undelivered or garbled entries, Sweepstakes messages, tweets or emails; or for lost, interrupted or unavailable network, server, Internet Service Provider (ISP), website, or other connections, availability or accessibility or miscommunications or failed computer, satellite, telephone or cable transmissions, lines, or technical failure or jumbled, scrambled, delayed, or misdirected transmissions or computer hardware or software malfunctions, failures or difficulties, or other errors or difficulties of any kind whether human, mechanical, electronic, computer, network, typographical, printing or otherwise relating to or in connection with the Sweepstakes, including, without limitation, errors or difficulties which may occur in connection with the administration of the Sweepstakes, the processing of entries, the announcement of the Prize or in any Sweepstakes-related materials.  Released Parties are also not responsible for any incorrect or inaccurate information, whether caused by site users, tampering, hacking, or by any equipment or programming associated with or utilized in the Sweepstakes.  Released Parties are not responsible for injury or damage to entrant’s or to any other person's computer related to or resulting from participating in this Sweepstakes or downloading materials from or use of any Sponsor website.  Persons who tamper with or abuse any aspect of the Sweepstakes or any Sponsor website or who are in violation of these Official Rules, as solely determined by Sponsors, will be disqualified and all associated entries will be void.  Should any portion of the Sweepstakes be, in Sponsors’ sole opinion, compromised by virus, worms, bugs, non-authorized human intervention or other causes which, in the sole opinion of the Sponsors, corrupt or impair the administration, security, fairness or proper play, or submission of entries, Sponsors reserve the right at its sole discretion to suspend, modify or terminate the Sweepstakes and, if terminated, at its discretion, select the potential Winners from all eligible, non-suspect entries received prior to action taken or as otherwise deemed fair and appropriate by Sponsors.  Sponsors, MSG Holdings, LP, Twitter, Inc., and their respective parents, affiliates, subsidiaries and advertising and promotion agencies and all of their respective officers, directors, employees, representatives and agents (collectively, “Released Parties”) will have no liability whatsoever for, and shall be held harmless by entrants against, any liability, for any injuries, losses or damages of any kind, including death, to persons, or property resulting in whole or in part, directly or indirectly, from acceptance, possession, misuse or use of any Prize (including any travel or activity related thereto) or participation in this Sweepstakes.  Entrants agree to indemnify and hold harmless the Sponsors from any and all liability resulting or arising from the Sweepstakes, to release all rights to bring any claim, action or proceeding against the Sponsors, and hereby acknowledge that said Sponsors have neither made nor are in any manner responsible or liable for any warranty, representation or guarantee, express or implied, in fact or in law, relative to the Prize, including express warranties provided exclusively by a prize supplier that are sent along with the Prize.

GRANT OF RIGHTS OF ENTRIES:  Each Winner, by entry into the Sweepstakes, except where legally prohibited, grants permission for Sponsors and their designees to use his/her Twitter account name or so-called “handle” for display on www.fuse.tv and www.dietcoke.com solely in connection with Sponsors announcing the Sweepstakes winner, without further compensation and without notice or review or approval. In addition, each Winner, by acceptance of the Prize, except where legally prohibited, grants permission for Sponsors and their designees to use his/her name, address (city and state), photograph (including Twitter profile pictures, if applicable), voice and/or other likeness and prize information for advertising, trade and promotional purposes without further compensation, in all media now known or hereafter discovered, in any manner and with any materials, worldwide in perpetuity, without notice or review or approval. In the event of a dispute regarding entries received from multiple users having the same Twitter account, the authorized subscriber of the Twitter account at the time of entry will be deemed to be the entrant and must comply with these rules.  Authorized account subscriber is the natural person who is assigned the e-mail address by Twitter, Inc. or other organization responsible for assigning Twitter accounts.
